Anti-bribery and Anti-Corruption Clause

Brother Group, adopts a zero-tolerance approach to bribery and corruption and is committed to conducting all our business dealings and relationships professionally, fairly and with integrity in.

As a condition of engagement, the Vendor agrees as follows:

• Compliance with Laws

  The Vendor shall comply, at all times with all applicable anti-bribery and anti-corruption laws and regulations.

 

• Prohibited Conduct

  The Vendor, including its directors, officers, employees, agents, and representatives, shall not directly or indirectly receive or accept any bribes, kickback, improper gift or hospitality or any other object of value to or from any of director, officer, employee, or representative of Brother Group, or any third party for the purpose of influencing any act or decision; securing any improper advantage; or obtaining any personal benefit in connection with any transaction or dealing with Brother Group.

 

• Notification Obligation

  The Vendor shall promptly notify Brother Group in writing upon becoming aware of:
  1. Any actual or suspected breach of this clause; or
  2. Any request or demand for any bribe or other improper advantage in connection with any transaction or dealing with Brother Group.

 

• Indemnity

  The Vendor shall indemnify and hold Brother Group harmless against any losses, liabilities, damages, costs (including legal fees) and expenses arising out of or in connection with any breach of this clause.

Brother Group reserve the right to suspend or terminate any transaction, engagement, or business relationships with immediate effect upon a good faith belief that the Vendor has failed to comply with this clause, including any non-compliance occurring prior to the execution of this letter.
