TERMS AND CONDITIONS OF E-COMMERCE PLATFORM
The following contains the terms and conditions (these “Terms and Conditions” or this “Agreement”) which shall apply in relation to the supply of goods and services listed by BROTHER INTERNATIONAL SINGAPORE PTE LTD (Company Registration No.: 198901767C) (“Brother”, “we”, “our”, or “us”), with registered address at 10 Eunos Road 8, #09-02, Singapore Post Centre, Singapore 408600, on the Site.
Please read these Terms and Conditions carefully and make sure you understand them before ordering any Goods on our Site. You will be asked to agree to these Terms and Conditions before being able to place an order for any Goods on the Site. If you do not accept these Terms and Conditions, you will not be able to order any Goods from the Site.
Brother may at any time make changes to these Terms and Conditions, and to the Contents and list of Goods, with or without prior written notice.
This Agreement may not be otherwise amended by you except in writing signed by both you and us. Other than as expressly provided in these Terms and Conditions, these Terms and Conditions sets forth the entire understanding and agreement between you and us with respect to the subject matter hereof.
You should read these Terms and Conditions each time you place an order for Goods on the Site to ensure that you do understand and accept these Terms and Conditions in force at that time.
1. Entire Agreement
1.1. These Terms and Conditions form the entire agreement between us and you with regards to your purchase of the Goods through the Site and supersedes any previous representations, statements or agreements (verbal or written) made or entered into between you and us.
2. Definitions
2.1. In these Terms and Conditions, "we", "our" and "us" means Brother and "you" or "customer" means the person, firm or corporation using the Site or purchasing the Goods indicated in your Online Order.
2.2. Expressions in the singular may indicate the plural and vice versa and reference to a particular gender may include all other genders.
2.3. In these Terms and Conditions, the following expressions shall, unless the context otherwise requires, have the following meanings:
2.3.1. “Contents” means all information, data, text, logo, icons, graphics, photographs, names, images, pictures, sounds, sounds files, videos, video files, animation files and other materials in the Site;
2.3.2. “Customer Service Centre” means the Brother Customer Service Centre located at 10 Eunos Road 8, #09-05 Singapore Post Centre, Singapore 408600 or at such other address as Brother may specify from time to time;
2.3.3. "Goods" means goods or services listed, advertised or promoted on the Site by Brother or any third party, and related services, including but not limited to services to allow for payments for orders or purchases made online, to the extent that such listed services are available or have been launched;
2.3.4. "Online Order" means the electronic purchase you made through the Site;
2.3.5. “Privacy Policy” means the privacy policy
2.3.6. “Site” means the online E-commerce platform available at the following website: https://www.brother.com.sg; and
2.3.7. “Website Terms and Conditions” means the terms and conditions governing the use of the Site available at the following web address: https://www.brother.com.sg/en/about/tnc-ec.
3.1. The Site is set up for the purpose of providing our customers in Singapore an online platform for the purchase of the Goods, and by making an order for Goods on the Site, you agree that you are making an order for Goods to be delivered to and used in Singapore, and are not making an order for Goods to be delivered to or used in any other jurisdiction outside of the Republic of Singapore.
3.2. Unless restricted by applicable law, you agree that you have read the Website Terms and Conditions and the Privacy Policy, you consent to the collection and use of your personal information and/or data for the purposes specified in the Privacy Policy and any and all personal information/data relating to you collected by Brother from the Site from time to time may be collected, used and disclosed for such purposes and to such persons as may be in accordance with the Privacy Policy.
4. Online Orders
4.1. Only persons aged 18 years and above may submit an Online Order or make any orders or purchases on the Site.
4.2. All Online Orders received by Brother are subject to our acceptance, in our sole discretion, and the despatch to you of the Goods ordered. Brother shall be entitled to cancel, terminate its obligations or cease to fulfil any Online Order, for any reason whatsoever, prior to delivery of the Good, with or without notice. Upon the cancellation, termination or cessation of obligations, Brother shall only be required to refund you for all payments made and received by Brother not exceeding the price of the Goods ordered.
4.3. Notwithstanding Clause 4.2, Brother shall have the right to cancel any accepted order prior to the delivery of the Goods, at Brother’s sole and absolute discretion, in the event of any pricing error or any material error in connection with your order or other conditions published on the Site relevant to your order, or if any further verification of your credit conditions or records so warrants. For the avoidance of doubt, upon the cancellation, termination or cessation of obligations, Brother shall only be required to refund you for all payments made and received by Brother not exceeding the price of the Goods ordered.
4.4. All submitted Online Orders received by Brother are final and binding upon you. Notwithstanding the above, Brother shall have the sole and absolute discretion to decide whether to approve any requests for cancellation of any Online Orders or returns of Goods. In the event that Brother decides to grant such a request to cancel or return said Online Order or Goods, Brother shall have the right to charge a cancellation fee of up to five percent (5%) of the total value of your Online Order or returned Goods.
4.5. The possession, distribution, circulation, importation or other dealing with the Goods that are available on the Site may be subjected to the laws and regulations of some countries and jurisdictions. It is your responsibility to ensure that any such dealings with such Goods is in compliance with all applicable laws and regulations of the relevant countries and jurisdictions, including such licensing, intellectual property, taxation, revenue, customs, import and export control laws of such relevant countries and jurisdictions, and to observe all such laws and regulations.
4.6. Any discounts or promotions offered on the Site or otherwise are on such terms and conditions as Brother may from time to time prescribe, and may be withdrawn or cancelled by Brother without notice. All free gifts offered on the Site are while stocks last and are not exchangeable.
5. Representations and Warranties as to capacity and residency
5.1. You hereby represent and warrant that you are of legal age and have legal capacity and full authority to enter into contracts under all applicable law, and that any sales of Goods to you will be binding upon you.
5.2. You hereby represent and warrant that you are making an order for Goods to be delivered to and used in Singapore, and are not making an order for Goods to be delivered to or used in any other jurisdiction outside of the Republic of Singapore.
6. Payment
6.1. You shall make full payment of the purchase price for all Goods purchased by you immediately upon placing an Online Order. All payments shall be made in Singapore Dollars (SGD). For the avoidance of doubt, Brother shall not be obliged to effect delivery of any Goods if it has not received full payment of the purchase price of said Goods.
6.2. Brother may use such third party payment solutions to receive payment of the purchase price for the Goods, including but not limited to the payment gateway 2C2P.
6.3. Unless otherwise stated, all prices are quoted in Singapore Dollars (SGD) and shall include any Goods and Services Tax (GST) payable, but exclude delivery and handling charges which will be quoted separately, where applicable.
6.4. Prices and availability of Goods are subject to change without notice. Brother reserves the right to withdraw any offer and to correct any errors, inaccuracies or omissions at any time.
6.5. We will inform you of any material change in the terms of your purchase, whether or not the Online Order has been confirmed. If you used a credit card to make payment for your Online Order, and if your credit card has already been charged for the purchase and your Online Order is cancelled, we will issue you a refund in the form of a credit to your credit card account in the amount of the charge. All other refunds will be made via the original payment mechanism used to make payment to us, to the person who made the original payment. Upon the issuance of the refund to you, we shall not be liable to you for any further claims regarding the Online Order.
7. Features and Specifications of the Goods
7.1. Features and specifications of Goods advertised, provided and/or made available on the Site are subject to change at any time without notice.
8. Title to Goods and Risk of Loss
8.1. Title to the Goods shall pass to you upon the latter of full payment for the Goods and for all other debts that are outstanding from you to us on any account, and delivery of the Goods. Notwithstanding delivery of the Goods, title to the Goods shall not pass to you but shall be retained by us until full payment for the Goods has been received by us and for all other debts that are outstanding from you to us on any account, regardless of whether such debts are due. Until such time as title to the Goods has passed to you:
8.1.1. You shall keep the Goods at your address set out in the Online Order or where we have delivered the Goods and shall not sell, loan, remove the Goods from the premises or dispose of the Goods without our written consent and/or in any way, part with possession and/or control of the Goods and you shall take reasonable care of the Goods at all times.
8.1.2. You hereby acknowledge our right to the Goods as set out above and expressly consent to the entry by Brother or any of our agents and/or authorized representatives to the premises for the purpose of exercising our rights as set out above.
8.1.3. You shall not alter, and/or remove any notices or tags attached to the Goods by us to reserve our rights therein.
8.2. Risk of loss and damage shall pass to you upon delivery of the Goods to you.
9. Delivery of Goods
9.1. Following our receipt and acceptance of your Online Order, we will send you an email confirming our acceptance of your Online Order. Brother will make reasonable efforts to deliver or procure that the Goods will be delivered to you within five business days of our email confirmation, but you acknowledge that all delivery dates are estimates only, and delays can occur. Delivery will typically be done by a third party delivery agent engaged by us. The time for delivery shall not be of the essence, and Brother and its agents shall not be liable for any delay in delivery, howsoever caused.
9.2. All Goods purchased from us will only be delivered to addresses within Singapore. No delivery will be made outside Singapore or to post office boxes. If there is more than one product in an Online Order, the products may be delivered in one or more packages as Brother may in its absolute discretion decide.
9.3. The charges for delivery of your Goods will be as specified in the Tax Invoice. Any such delivery charges are subject to prevailing goods and services tax, where applicable.
9.4. Dates and times for delivery are an estimate only. In the event that the delivery is delayed due to any unforeseen circumstances, we will make reasonable efforts to notify you of the delay through your last known contact number or email address we have in our possession. Brother shall not be liable for any delay or any consequences arising from the delay.
9.5. The Delivery of any Goods shall be deemed completed when the Goods are delivered to the Singapore address stated in your Online Order, regardless of the person who takes delivery, upon which title and risk in the Goods will pass to you.
9.6. If no one is present to receive the Goods, the appointed delivery partner will leave the parcel at the door step of the address stated in the online order. Should you experience any issues with the delivered package, please contact our Customer Service Team for assistance.
10. Return and Exchange of Goods
10.1. This Clause 10 is in addition to, and does not affect, your rights under any warranty provided by Brother that comes with the Goods, or any extended warranty purchased for any Goods.
10.2. All Goods sold are non-returnable unless damaged by Brother or materially not in conformance with the specifications at the time of delivery or unless otherwise agreed by Brother in its sole and absolute discretion..
10.3. You shall inspect the purchased Goods immediately upon delivery and shall as soon as reasonably possible, and in any case within seven (7) calendar days from such delivery, give notice in writing to us if any Good is found to have been damaged or not in accordance with the specifications.
10.4. In the absence of such notice, the said purchased Goods shall be conclusively deemed to be in accordance with the Agreement in all respects and you shall be bound to accept and pay for the same accordingly.
10.5. If you believe that you have received any Goods which are damaged or materially not in conformance with the specifications, please contact our Customer Service Centre at 1800-276-8437 or via email at customerservice@brother.com.sg.
10.6. For the avoidance of doubt, you will be responsible for and bear the transportation costs for the return or exchange of Goods if the Goods are returned or exchange for any reason other than if the Goods are damaged due to causes attributable to Brother, mistakes in delivery caused by Brother or if the Goods do not conform to specifications because of Brother’s mistake.
10.7. Upon receipt of the returned Goods, our Customer Service Centre will require approximately 5-10 working days to examine the Goods for defects. If the alleged defect or material non-compliance with specifications is, in the reasonable opinion of Brother, confirmed, we may (a) replace the defective Goods with a replacement set of Goods or (b) repair the Goods if it is reasonably possible to do so within a reasonable period of time. If we are not reasonably able to replace the defective Goods or repair the Goods within a reasonable period of time, you may (a) keep the defective Product and ask for a partial refund of payments for the defective Good, or (b) return the defective product and ask for a full refund on the defective Good. Please note that the amount of any refund under this Clause shall take into account any use of the Good during the period after receipt by you of the Good in question.
10.8. If you are given a refund, and if you used a credit card to make payment for your Online Order, we will issue you the refund in the form of a credit to your credit card account in the amount of the charge. All other refunds will be made via the original payment mechanism used to make payment to us, to the person who made the original payment. Upon the issuance of the refund to you, we shall not be liable to you for any further claims regarding the Online Order. Brother shall not be liable for any other loss or damage save as is agreed by us in these Terms and Conditions.
10.9. In the event that Brother reasonably determines that the alleged defective Good is not defective and materially in compliance with the specifications, Brother may, at its sole discretion decide not to repair, replace or refund you for the Good, and may require you to pay all reasonable costs incurred by Brother as a result, including delivery and servicing costs.
11. Warranty on Goods
11.1. To the extent allowed by law, Brother makes no warranties in relation to the Goods except and in accordance with (a) Brother’s warranty terms and conditions available at the following website: https://www.brother.com.sg/en/contents/warranty-terms-and-conditions, and (b) any extended warranties purchased in respect of said Goods.
11.2. Other than as provided in this Agreement, and liability for death or personal injury arising from negligence or for fraud, all other warranties, conditions and terms implied by a statute or common law are excluded to the fullest extent permitted by law.
11.3. This warranty is only valid in Singapore and to you as the original end-user purchaser and shall not be transferable or assignable to any third party.
11.4. The reasonable decision of Brother on all issues relating to defects shall be final and binding on the parties.
12. Notices
Except as explicitly stated otherwise, any notice to you shall be emailed, delivered by hand or registered mail to the address you have provided to Brother in the Online Order and any notice to Brother shall be emailed to customerservice@brother.com.sg, delivered to 10 Eunos Road 8, #09-02, Singapore Post Centre, Singapore 408600 by hand or registered mail to our registered office. Notice shall be deemed given at the time of delivery if delivered by hand and 5 days if sent by registered mail. Brother bears no responsibility and emails sent by Brother shall be deemed to have been given if the email address or address given by you is invalid or the email was rejected by your end or undelivered due to technical constraints beyond our control.
13. Software Licenses
13.1. Brother’s software products are subject to Brother’s standard software license terms and conditions, available at support.brother.com Some of Brother’s software products may be subject to different license terms, as provided with such products.
14. Liability Disclaimer
14.1. This Site is provided "as is" without warranty of any kind. Brother hereby disclaims all warranties with regard to the Site, including without limitation, its reliability, completeness, accuracy, timeliness, all implied warranties and conditions of merchantability, satisfactory quality, fitness for a particular purpose, title and non-infringement of third-party rights to the furthest extent permitted by law.
14.2. Notwithstanding any provisions to the contrary, Brother shall not be liable, to the furthest extent permitted by law, for any actual, direct, special, indirect or consequential damages, loss of use, loss of profits, economic loss or any damages whatsoever whether in an action on contract, negligence or other tortious action, arising out of or in connection with:
14.2.1. any access to, use or inability to access or use the Site, any delays or reliance on the Contents;
14.2.2. any system, server or connection failure, error, omission, interruption, delay in transmission, or computer failure;
14.2.3. any use of or access to any other website linked to the Site, the accuracy or reliance on the Contents or any output from the Site;
14.2.4. any malware, computer virus or other malicious, destructive or corrupting code, programme, macro or the like in the Site; regardless of whether Brother had been advised of or could have foreseen the possibility of such loss or damage.
14.3. To the extent allowed by law, Brother’s maximum aggregate liability under this Agreement, whether in contract, tort (including negligence) or otherwise shall not exceed the total amount payable by you in respect of the Online Orders made by you.
15.1. Brother shall be under no liability to you for any claims, delay, loss or any other damage arising out of war, rebellion, civil commotion, strike, look-outs, industrial disputes, fire, explosion, earthquake, flood, drought, or bad weather, act of God, the unavailability of the Goods or any parts thereof or the requisitioning or other act or order by any governmental authorities and any other circumstances or happenings beyond our control.
16. General
16.1. By accessing and/or using the Site, you agree that Singapore law shall govern such access and use, and you agree to submit to the non-exclusive jurisdiction of the Singapore courts without regard to any conflict of law provisions. A person who is not a party to this Agreement shall not have any rights under the Contracts (Rights of Third Parties) Act 2001 to enforce any of the terms of the Agreement.
16.2. Any provision of the Agreement prohibited by law or by court decree shall be ineffective to the extent of such prohibition, but such provision shall not in any way invalidate or affect the remaining provisions of this Agreement.
16.3. Failure or neglect by Brother to enforce at any time of the provisions hereof shall not be construed nor shall be deemed to be a waiver of our rights herein nor in any way affect the validity of the whole or any part of this Agreement nor prejudice our rights to take subsequent action.
16.4. Any claim, dispute or matter arising out of or in connection with this Agreement, including any question regarding the validity, construction and performance of this Agreement, shall be referred to and resolved by arbitration under the Arbitration Rules of the Singapore International Arbitration Centre, which are incorporated by reference. The arbitration will be in English and there will be one single arbitrator who will be appointed by the President of the Singapore International Arbitration Centre. The governing law of the arbitration will be Singapore law.
16.5. These Terms and Conditions are governed by the laws of the Republic of Singapore and any dispute arising out of or in connection with it shall be subject to the exclusive jurisdiction of the courts of the Republic of Singapore.
